These Terms & Conditions ("Terms") govern your access to and use of the website of Cognizance IP (LLP) and any services offered by us, including patent intelligence, claim charting, Evidence of Use analysis, portfolio mining, white space analysis, patent valuation, technology and company landscape mapping and licensing campaign support (collectively, the "Services"). By accessing our website or engaging our Services, you agree to be bound by these Terms.
2. Nature of Services and Engagement
These Terms apply to general use of our website. Specific client engagements are governed by a separate, mutually executed engagement letter, statement of work, master services agreement or non-disclosure agreement ("Engagement Documents"), which take precedence over these Terms in the event of any conflict.
3. Eligibility
Our website and Services are intended for use by businesses, organisations and professionals. By using our website or Services, you represent that you are at least 18 years of age and have the authority to bind the entity on whose behalf you are acting.
4. Intellectual Property Rights
All content on our website, including text, graphics, logos, reports, methodologies, frameworks and analysis templates, is owned by or licensed to Cognizance. Deliverables prepared specifically for a client under a paid engagement shall be owned by the client upon full payment, excluding our pre-existing methodologies, tools, templates and know-how, which remain our property.
5. Confidentiality
Our Services routinely involve access to commercially sensitive and confidential information. We treat all client-confidential information with due care and in accordance with the applicable Engagement Documents or a separately executed non-disclosure agreement.
6. Fees and Payment
Fees are as set out in the applicable proposal, engagement letter or invoice. We reserve the right to suspend or withhold delivery of Services or deliverables in the event of non-payment.
7. Client Obligations
Clients are responsible for providing timely, accurate and complete information reasonably required for us to perform the Services, and for promptly reviewing deliverables at any agreed approval gate.
8. No Legal or Professional Advice
Our Services are intended to support internal decision-making and are provided as intelligence and analytical work product. They do not constitute legal advice, an opinion of counsel, or a substitute for advice from a qualified patent attorney or legal professional.
9. Accuracy and Limitations of Analysis
While we apply rigorous methodology and professional diligence, intelligence work inherently involves interpretation, incomplete public information and evolving legal standards. We do not guarantee any particular outcome.
10. Disclaimer of Warranties
Except as expressly set out in the applicable Engagement Documents, our website and Services are provided on an "as is" and "as available" basis, without warranties of any kind, to the maximum extent permitted by applicable law.
11. Limitation of Liability
To the maximum extent permitted by law, Cognizance shall not be liable for any indirect, incidental, special, consequential or punitive damages. Our aggregate liability shall not exceed the fees actually paid for the specific Services giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Cognizance, its partners, employees and consultants from claims arising out of your misuse of our website or Services, breach of these Terms, or violation of applicable law or third-party rights.
13. Third-Party Links and Content
Our website may link to third-party websites or reference publicly available third-party data. We do not control and are not responsible for their content, accuracy or practices.
14. Termination
We reserve the right to suspend or terminate access to our website at our discretion, including in the event of misuse. Termination of a specific engagement is governed by the applicable Engagement Documents.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to any dispute resolution mechanism in the applicable Engagement Documents, the courts at Mohali, Punjab, India shall have exclusive jurisdiction.
16. Amendments
We may revise these Terms from time to time. The revised Terms apply from the date of posting on our website.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
